We have extensive experience in commercial and contract law, particularly in connection with business operations and transactions carried out in the three countries where we operate: France, Spain, and Morocco. This expertise enables us to advise and support our clients in the drafting, negotiation, and management of all types of commercial contracts.

CORPORATE-M&A

We provide legal counsel to Spanish, French, and Moroccan companies, both in the day-to-day management of their corporate affairs (general meetings, board of directors, proxies, etc.) and in more complex operations such as company formations, transformations, capital increases or reductions, amendments to bylaws, mergers, demergers, or liquidations.

We also act as non-executive secretaries on boards of directors and have recognized expertise in managing corporate disputes, including minority shareholder protection, strategic preparation of corporate meetings, and the negotiation and drafting of shareholder agreements.

 

We offer comprehensive legal support in business transfer operations, advising both buyers and sellers: letters of intent, term sheets, due diligence, share purchase agreements, asset and liability representations and warranties, and related guarantee mechanisms.

We also advise on the most appropriate legal structure for acquisitions or equity investments, particularly in the context of venture capital, private equity, LBOs, or joint ventures.

INTERNATIONAL ARBITRATION

With strong expertise in business law across three jurisdictions : Spain, France, and Morocco. We handle arbitration proceedings governed by the laws of these countries, whether ad hoc or institutional arbitrations.

Miguel Guerrero Acosta acts both as arbitrator and party counsel in domestic and international arbitration proceedings. He has participated in numerous cases, including before:
– the Madrid Court of Arbitration,
– the ICC International Court of Arbitration,
– the Arbitration Court of the Madrid Bar Association,
– the Spanish-Moroccan Arbitration Court, as well as in various ad hoc arbitrations.

He is currently listed as an arbitrator with the Madrid Court of Arbitration and the Spanish-Moroccan Arbitration Court.

REAL ESTATE LAW

We provide comprehensive legal support in the structuring and execution of real estate transactions, particularly for the acquisition of assets such as hotels, retail premises, shopping centers, and industrial warehouses.
